Revocable and Irrevocable Defined

When used in a very simple intellectual property license, the terms “revocable” and “irrevocable” have the meanings you would expect. A “revocable” license may be terminated by the licensor at any time during the term of the license agreement, with or without cause. An “irrevocable” license, on the other hand, cannot be terminated, although there is some divergence in authority regarding whether this means that the license cannot be terminated for any reason or only that the license cannot be terminated for convenience, but still may be terminated for breach. Despite the fairly clear meanings of these terms, how a license including either of these terms is interpreted depends on how the term interplays with the other provisions in the relevant contract, including the termination provisions.


Too many doctors nationally are getting screwed by lawyers who have their clients (your patients) change the terms of your assignments from you getting the checks to the lawyer directly receiving them and controlling your money to leverage you to take a “low ball offer” from them. In short, they are trying to find a legal mechanism to SCREW YOU.


One legal mechanism you can use is for all your initial paperwork to have IRREVOCABLE assignments, so they cannot do that. That should give you back the leverage if they do by presenting this documentation to a lawyer if they try that tactic.


The procedure: take every document that has an assignment and simply add the word “Irrevocable” before the word assignment of benefits, liens, or letters of protection.


There is a reason why MY doctors get paid A LOT MORE than most of the other doctors in the country… WE don’t take any crap and we prepare for battle to prevent the war…Therefore… you win, and in this case… GET PAID!!!!
